Customer Budget Management Agreement for Partners

Dear partner, Huawei Cloud provides the Customer Budget Management feature (hereinafter referred to as "Feature") for you to manage the expenditures of your customers associated in the Reseller model. By proceeding with this Feature, it is imperative that you thoroughly understand the impacts of the Feature, and you acknowledge full responsibility for all outcomes resulting from its operation. Should you have any objections or concerns regarding this Feature, you are hereby advised to cease utilization of the aforementioned Feature immediately.

Body:

1. This Feature supports the following handling strategies in the event of customer budget exhaustion, specifically when a customer uses 100% or more of the allocated budget.

  • Manual freezing: If the budget allocated to a customer is exhausted or exceeded, the customer cannot purchase yearly/monthly or one-off resources, packages, reserved instances, or savings plans. But, they can still purchase pay-per-use and spot resources, and the provisioned pay-per-use and spot resources still incur fees. You hereby acknowledge and expressly agree that all costs and expenses arising from or related to this matter shall be resolved exclusively between you and the relevant customer through negotiation. Huawei Cloud disclaims any responsibility or liability whatsoever for any losses, damages, or liabilities incurred as a result of such case. (In this case, you can manually restrict or freeze the account of this customer in Partner Center to implement the aforementioned restrictions.)
  • Purchase restriction: If the budget allocated to a customer is exhausted or exceeded, the customer cannot purchase yearly/monthly or one-off resources, packages, reserved instances, or savings plans. In addition, they cannot purchase pay-per-use or spot resources, but the provisioned pay-per-use and spot resources still incur fees. You hereby acknowledge and expressly agree that all costs and expenses arising from or related to this matter shall be resolved exclusively between you and the relevant customer through negotiation. Huawei Cloud disclaims any responsibility or liability whatsoever for any losses, damages, or liabilities incurred as a result of such case.
  • Purchase restriction and resource freezing: If the budget allocated to a customer is exhausted or exceeded, the customer cannot purchase yearly/monthly, one-off, pay-per-use, or spot resources, packages, reserved instances, or savings plans. Reserved instances and savings plans that were not fully pre-paid will be unsubscribed from. The yearly/monthly and one-off resources, packages, reserved instances, and savings plans that have already been purchased can still be used, but the pay-per-use and spot resources that have already been purchased will enter retention period and cannot be used. After the retention period ends, the stored data will be deleted and the cloud service resources will be released. You hereby acknowledge and expressly agree that all costs and expenses arising from or related to this matter shall be resolved exclusively between you and the relevant customer through negotiation. Huawei Cloud disclaims any responsibility or liability whatsoever for any losses, damages, or liabilities incurred as a result of such case.

2. Huawei Cloud offers this Feature at no cost exclusively to its HCPN partners. Its purpose is solely to assist partners in overseeing and managing the budgets and expenditures of their customers, as well as enabling the establishment of distinct budget overrun management policies tailored to customers based on varying risk profiles. Huawei Cloud disclaims any liability for disputes or other adverse impacts on customer services resulting from the partners' utilization of this Feature. In the event of any such disputes, resolution shall be pursued exclusively through direct negotiations between partners and the affected customers.

3. You acknowledge and accept that inherent characteristics may result in discrepancies between monitored expenditure data and actual usage, including potential delays or inaccuracies at the hourly level. Such variances are considered standard and expected within the operational framework of these services. If you implement budget controls or restrictions (including but not limited to manual freezing, purchase restriction, and purchase restriction and resource freezing) for your associated customers, the ability of your associated customers to access and utilize cloud services will be affected. Accordingly, it is your responsibility to inform such customers of any anticipated impacts arising from these imposed restrictions.

4. We will send you an email to alert you when the budget usage of your customers reaches or exceeds a certain threshold. You can set recipients in Message Center > SMS & Email Settings > Message Type > Finance > Partner budget. If a customer account is restricted due to budget exhaustion or overrun, you can increase the customer budget and manually remove the restriction on the account to clear the alert. If the consumption quota allocated by Huawei Cloud to you is exceeded, your associated customers will be restricted from purchasing resources, or their resources will be frozen. In such case, you cannot remove the restriction on the customer account or unfreeze the resources. Any disputes arising therefrom shall be resolved through negotiations between you and your customers, and you shall be solely liable for any and all losses incurred therefrom.

5. Huawei Cloud reserves the right to announce the revised version of this Agreement via official website announcements, notifications, pop-ups, or other appropriate means. The modified terms will come into effect upon posting or notification. You shall review such terms on a regular basis. Your continuous use of the Feature after the coming into effect of such modification will be deemed as your acceptance to the modified terms.
